End-User License Agreement

Effective date: October 8, 2026

These terms govern authorized internal use of the Horizonline Logistics Hermes Agent–QuickBooks Online integration (the “Integration”). This is a draft for review before production publication.

1. Authorized users

The Integration is provided for Horizonline Logistics' authorized internal personnel. Access is limited to individuals expressly permitted to use the connected QuickBooks company account. Users must comply with their organization's access policies and applicable laws.

2. Permitted use

The Integration may retrieve and summarize accounting information using Intuit's APIs. Any feature that creates, modifies, or deletes accounting records must be separately enabled and subject to appropriate authorization and confirmation. Users must not attempt to bypass access controls or retrieve information they are not authorized to view.

3. QuickBooks authorization

Connection to QuickBooks Online requires valid authorization through Intuit OAuth 2.0. Users or administrators may disconnect the Integration using available account and Intuit controls. Intuit's own terms apply to the QuickBooks service.

4. AI-generated information

Hermes Agent may produce inaccurate or incomplete responses. AI-generated summaries and recommendations are informational and must be independently verified before accounting, tax, financial, or payment decisions. The Integration does not replace a qualified accountant or financial adviser.

5. Security responsibilities

Users must protect their credentials, follow access policies, promptly report suspected unauthorized access, and avoid entering unnecessary sensitive information into prompts.

6. Availability and changes

Features may change or become unavailable because of QuickBooks subscription limits, API changes, service interruptions, or administrative decisions. The Integration may be suspended to protect security or comply with applicable requirements.

7. Ownership

Each party retains rights to its own software, trademarks, and information. QuickBooks and Intuit marks belong to their respective owners. These terms do not transfer ownership of company accounting records.

8. Limitations

To the extent permitted by applicable law, the Integration is provided for internal use without a guarantee of uninterrupted operation or error-free AI output. Nothing in these terms limits rights or liabilities that cannot legally be limited.

9. Termination

Access may be withdrawn when a user is no longer authorized or if use violates applicable policies. Any retained information will be handled under the Privacy Policy and applicable retention requirements.
